Please read these terms carefully before using our services.

1. Acceptance of Terms

By accessing or using any service offered by Eimers Business Solutions ("Company," "we," "our," or "us"), including our AI voice agent platform, automated scheduling tools, dashboards, and associated software (collectively, the "Services"), you ("Client," "User," or "you") agree to be bound by these Terms and Conditions.

If you do not agree to these Terms, you must immediately discontinue all use of our Services. These Terms constitute a legally binding agreement between you and Eimers Business Solutions.

2. Description of Services

Eimers Business Solutions provides AI-powered voice agent technology and automated business tools designed specifically for landscaping and lawn care companies. Our core offerings include:

  • AI voice agents that answer inbound calls, qualify leads, and gather service information
  • Automated calendar and scheduling integrations (e.g., Google Calendar, Calendly, CRMs)
  • SMS and voice notification systems
  • Real-time dashboards for call logging, transcriptions, and analytics
  • Custom AI configuration, onboarding, and support services

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice to active subscribers.

3. Eligibility

To use our Services, you must:

  • Be at least 18 years of age
  • Be a legally registered business entity or sole proprietor operating in the United States
  • Have full authority to enter into this agreement on behalf of your business
  • Provide accurate, complete, and current information during registration and billing

We may refuse service to anyone at our sole discretion, without obligation to provide a reason.

4. Accounts & Subscriptions

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

Subscriptions are provided on a term basis as defined in your service agreement. Accounts are non-transferable. You may not share, sublicense, or resell access to the Services.

We may pause or suspend your account if we detect fraudulent activity, policy violations, or non-payment of fees.

5. Payment & Billing

Subscription fees are billed monthly in advance. Your subscription renews automatically unless cancelled before the renewal date. All fees are in USD and are non-refundable except as expressly stated herein.

By providing payment information, you authorize Eimers Business Solutions to charge your selected payment method for all applicable subscription and usage fees. Failure to pay may result in suspension or termination of Services.

We reserve the right to change pricing with 30 days' written notice to active subscribers. Continued use after the notice period constitutes acceptance of new pricing.

Overage charges may apply if call minute usage exceeds your plan's included allotment. Overages are billed at a per-minute rate and included in the following month's invoice.

6. Acceptable Use

You agree not to use our Services to:

  • Engage in illegal, deceptive, or fraudulent communications
  • Impersonate individuals, businesses, or government entities without authorization
  • Transmit spam, unsolicited messages, or harass individuals
  • Violate any applicable federal, state, or local laws including the TCPA (Telephone Consumer Protection Act)
  • Attempt to reverse-engineer, copy, or replicate our AI systems or software
  • Use the Services for purposes other than your stated landscaping or lawn care business

We reserve the right to monitor use for compliance and to terminate access for violations without notice or refund.

7. Data & Privacy

We collect and process data necessary to deliver the Services, including call recordings, transcriptions, lead data, and usage analytics. All data collected is governed by our Privacy Policy, which is incorporated by reference.

You retain ownership of your customer data. We do not sell, rent, or share your data with third parties for advertising or marketing purposes. Call recordings and transcriptions are stored securely and accessible only to authorized users on your account.

You are responsible for ensuring your use of our AI voice agent complies with all applicable call recording disclosure laws in your jurisdiction. This includes informing callers when calls are recorded, where required by law.

We implement industry-standard encryption and security practices to protect your data. However, no system is 100% secure and we cannot guarantee absolute security.

8. Intellectual Property

All intellectual property related to the Services — including software, AI models, algorithms, interfaces, branding, and documentation — is owned by Eimers Business Solutions or our licensors. Nothing in these Terms grants you ownership or license rights beyond the limited right to use the Services as described.

Any feedback, suggestions, or ideas you submit to us may be used by us freely, without obligation or compensation to you.

9. Limitation of Liability

To the fullest extent permitted by law, Eimers Business Solutions shall not be liable for:

  • Indirect, incidental, consequential, or punitive damages
  • Lost profits, revenue, business, or data
  • Any damages arising from service interruptions, AI errors, or third-party integrations

Our total liability to you for any claim arising out of or relating to these Terms or the Services shall not exceed the total fees paid by you in the three (3) months preceding the claim.

The Services are provided "as is" without warranties of any kind, express or implied, including fitness for a particular purpose or merchantability.

10. Termination

You may cancel your subscription according to the terms specified in your contract by contacting us at benton@eimerssolutions.com. Cancellations take effect at the end of the current contract term. No partial refunds are provided.

We may terminate or suspend your account immediately and without notice if you violate these Terms, engage in fraudulent activity, fail to pay fees, or if continued service creates legal or reputational risk for us.

Upon termination, your right to access the Services ceases immediately. We may retain your data for up to 90 days post-termination for legal and compliance purposes, after which it will be deleted.

11. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Kansas, United States, without regard to its conflict of law provisions.

Any disputes arising under these Terms shall first be submitted to good-faith mediation. If mediation fails, disputes shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. You waive the right to bring claims as a class action.

12. Changes to Terms

We reserve the right to update these Terms at any time. When we make material changes, we will notify active subscribers via email at least 14 days before the changes take effect. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.

We encourage you to review these Terms periodically. The most current version will always be posted at this URL.
